VP Corporate Development

Overview:

The Corporate Development Vice President will be responsible for leading the inorganic growth efforts for UL on a global basis, reporting to the Chief Financial Officer. This includes providing executive leadership across various transaction types (e.g. acquisition, joint venture, minority investment, divestiture, etc.) and all segments of the deal lifecycle. The Vice President will be tasked with building and cultivating strong relationships across all relevant UL functions and geographies. This individual will manage and lead a high performing team of Corporate Development professionals and work in a fast paced, execution heavy environment.

Responsibilities:


  • Leads Corporate Development activities across all transaction types and stages of the deal lifecycle. Provides direction, guidance and oversight to Directors, Managers and Analysts throughout the transaction process.

  • Determines deal structure / valuation, manages pricing discussions with internal and external parties and leads definitive agreement negotiations.

  • Builds strong relationships, internally and externally, across a wide range of constituents. Partners with UL's three Business Unit Presidents and Division / International leads to form and execute upon inorganic growth strategies. Serves as the key contact point for various UL leaders with respect to providing strategic guidance as needed.

  • Develops deal funnel through close collaboration with UL Business Development leads, external intermediaries (e.g. investment banks, advisors, etc.) and internal executive team.

  • Leads M&A-related approval discussions with C-level and Board representatives. Responsible for Corporate Development deliverables and associated presentations for all quarterly Board of Directors meetings.

  • Leads post-completion integration for all acquired companies in conjunction with Business Unit and functional leads. Provides ownership across integration steering committee meetings.

  • Provides thought leadership on ad-hoc projects as required by the CEO, CFO and Board.

  • Manages the performance and development of Corporate Development team professionals by establishing performance objectives, training, providing career counseling, feedback and guidance and ensuring that all policies are understood and adhered to.

  • Performs other duties as directed.


Qualifications:


  • University Degree (Equivalent to Bachelor's degree) in Accounting, Business, Economics, Finance or a related discipline plus generally fifteen+ years' experience with ten+ years' experience in M&A related activities.

  • MBA required.

  • Must have worked in an M&A or Corporate Development function and helped build / lead the M&A competency in an organization. Relevant investment banking, management consulting and private equity experience desired. Experience working in a mid-sized or large corporation is desired.

  • Must have experience leading the execution of all phases of a transaction and have completed at least twenty transactions (international deal experience a plus).

  • Post-transaction integration experience required.

  • Experience partnering with senior business leaders and presenting to C-level and Board representatives.
