The Enterprise Risk Management & Risk Oversight (ERM&RO) organization within Global Risk and Compliance (a Second Line of Defense function) is responsible for identifying and managing risk across all business units, functions, processes, and geographies at American Express.
The ERM Framework, Governance and Reporting team within ERM&RO provides an independent view of risks faced by American Express and is responsible for aggregating the risk profile for the Company. The team is focused on key risk management activities, including but not limited to, risk identification and assessment, risk appetite, effective challenge, and committee governance and reporting. These responsibilities span the AXP Bank Holding Company as well as the subsidiary US Bank (American Express National Bank).
How will you make an impact in this role?
The ERM Framework, Governance and Reporting team is seeking a Director of Committee Governance to oversee the management and effectiveness of key risk governance committees across the organization. This role will be responsible for ensuring that committee structures, charters, and operations align with our risk governance framework, corporate policies, regulatory requirements, and best governance practices. The ideal candidate will have extensive expertise in corporate governance, committee management, and regulatory compliance within the financial services sector.
Responsibilities:
- Committee Oversight & Administration: Manage the governance framework for enterprise-wide committees, ensuring alignment with regulatory and corporate governance standards.
- Policy & Charter Management: Develop, review, and maintain committee charters, policies, and procedures to ensure clarity in roles, responsibilities, and decision-making authority.
- Meeting Coordination & Documentation: Oversee committee meeting logistics, including agenda setting, documentation, and minutes preparation, ensuring compliance with governance protocols.
- Stakeholder Engagement: Collaborate with senior leadership, board members, legal, compliance, and risk management teams to drive effective committee operations.
- Regulatory & Compliance Alignment: Ensure committees operate in compliance with internal policies, external regulations, and best governance practices.
- Governance Reporting: Prepare and present committee governance reports, highlighting key issues, decisions, and areas for improvement.
- Continuous Improvement: Identify and implement enhancements to committee structures, governance processes, and decision-making frameworks.
Qualifications
- Bachelor’s degree in Business, Law, Public Policy, Finance, or a related field (Master’s or JD preferred).
- 10+ years of experience in corporate governance, board/committee management, compliance, or regulatory affairs within the financial services industry.
- Strong understanding of governance frameworks, committee operations, and financial regulatory requirements.
- Proven ability to engage with senior executives and board members, providing strategic governance insights.
- Excellent project management, organizational, and communication skills.
- High attention to detail, with the ability to manage multiple priorities in a fast-paced environment.
Salary Range: $130,000.00 to $205,000.00 annually + bonus + equity (if applicable) + benefits

Salary range
- $130,000 - $205,000
